1. Acceptance of Terms
By accessing or using Sridevi Health Innovations Pvt. Ltd.'s services ("Services"), you agree to be bound by these Terms of Service ("Terms") and all applicable laws and regulations. If you do not agree with any of these Terms, you are prohibited from using or accessing our Services.

GxP Flow provides a cloud-based document management system designed for pharmaceutical and life sciences companies. Our Services include:

- Electronic signatures and approval workflows
- Audit trails and compliance reporting
- User access management and role-based permissions
- Features designed to support FDA 21 CFR Part 11 compliance requirements
- Integration capabilities with other systems
3. User Accounts
To access certain features of our Services, you must create an account. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized use
- Ensuring your account information is accurate and up-to-date
4. Compliance Responsibilities
While our platform is designed to support FDA 21 CFR Part 11 compliance, you are ultimately responsible for:
- Ensuring your use of the platform meets your specific regulatory requirements
- Validating the platform according to your organization's procedures
- Maintaining appropriate standard operating procedures (SOPs)
- Training your users on proper system use
5. Acceptable Use Policy
You agree not to use the Services to:
- Violate any applicable laws, regulations, or third-party rights
- Upload or transmit malicious code, viruses, or harmful content
- Attempt to gain unauthorized access to the Services or related systems
- Interfere with or disrupt the integrity or performance of the Services
- Store or process data that violates applicable data protection laws
- Use the Services for any purpose other than your legitimate business needs
6. Intellectual Property
Our Intellectual Property: The Services, including all software, designs, text, graphics, and other content provided by GxP Flow, are owned by us and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our prior written consent.
Your Data: You retain all rights to the data and content you upload to the Services ("Customer Data"). You grant us a limited license to host, store, and process your Customer Data solely to provide the Services. We will not access, use, or disclose your Customer Data except as necessary to provide the Services or as required by law.
7. Confidentiality
Both parties agree to protect confidential information disclosed during the course of this agreement. Confidential information includes, but is not limited to, Customer Data, pricing, business processes, and technical specifications.
8. Term and Termination
Term: These Terms are effective from the date you first access the Services and continue until terminated.
Termination by You: You may terminate your account at any time by providing written notice. Prepaid fees are non-refundable except as specified in your service agreement.
Termination by Us: We may suspend or terminate your access for breach of these Terms, non-payment, or if required by law. We will provide reasonable notice except in cases of emergency.
Effect of Termination: Upon termination, your access to the Services will cease. You may request export of your Customer Data within 30 days of termination. After this period, we may delete your data in accordance with our data retention policies.
9. Limitation of Liability
To the maximum extent permitted by law, GxP Flow shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill. Our total liability under these Terms shall not exceed the fees paid by you in the twelve (12) months preceding the claim.
10. Indemnification
You agree to indemnify, defend, and hold harmless GxP Flow and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your Customer Data.
11. Force Majeure
Neither party shall be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, pandemics, labor disputes, power failures, or internet service provider failures.
12. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of INDIA, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in INDIA.
13. Dispute Resolution
Informal Resolution: Before initiating any formal dispute resolution process, the parties agree to attempt to resolve disputes informally by contacting each other directly.
Arbitration: If informal resolution is unsuccessful, any dispute arising out of or relating to these Terms shall be finally resolved by binding arbitration. The arbitration shall be conducted in accordance with the rules of an internationally recognized arbitration institution. The decision of the arbitrator shall be final and binding on both parties.
14. Modifications to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes at least 30 days before they take effect. Your continued use of the Services after the effective date constitutes acceptance of the modified Terms.
15. General Provisions
Entire Agreement: These Terms, together with any applicable service agreement, constitute the entire agreement between you and GxP Flow regarding the Services.
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
Waiver: Failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
